4. Intellectual Property Rights
Our Intellectual Property

Client Intellectual Property
Upon full payment for custom development work, clients retain ownership of the final deliverables created specifically for them, unless otherwise agreed in writing. However, Claudine Tech retains ownership of any pre-existing intellectual property, tools, frameworks, or methodologies used in the development process.
Portfolio Rights
Unless explicitly prohibited by a confidentiality agreement, Claudine Tech reserves the right to display completed work in our portfolio and marketing materials.
5. Payment Terms
Pricing and Quotes
All prices are quoted in South African Rand (ZAR) unless otherwise specified. Quotes are valid for 30 days from the date of issuance. Final pricing will be outlined in the service agreement or project proposal.
Payment Schedule
Payment terms vary by project and will be specified in your service agreement. Typical payment structures include:
- 50% deposit before project commencement
- Milestone-based payments for larger projects
- Final payment upon project completion and delivery
- Monthly subscriptions for ongoing services
Late Payments
Late payments may result in project suspension, interest charges, or termination of services. We reserve the right to charge interest on overdue amounts at a rate of 2% per month or the maximum allowed by law.
Refunds
Deposits and payments for work already completed are non-refundable. Refund eligibility will be evaluated on a case-by-case basis and must comply with our refund policy outlined in individual service agreements.
6. Project Scope and Changes
The scope of work will be defined in the project proposal or service agreement. Any changes, additions, or modifications to the agreed scope may result in additional costs and timeline adjustments. All scope changes must be approved in writing by both parties.
7. Timelines and Delivery
We strive to meet all agreed-upon deadlines. However, timelines are estimates and may be affected by factors including but not limited to client feedback delays, scope changes, technical challenges, or force majeure events. We will communicate any timeline changes promptly.
8. Client Responsibilities
To ensure successful project completion, clients are responsible for:
- Providing timely feedback and approvals
- Supplying required content, assets, and information
- Designating a primary point of contact
- Ensuring access to necessary systems and resources
- Making payments according to the agreed schedule
9. Warranties and Disclaimers
Service Warranty
We warrant that our services will be performed in a professional and workmanlike manner. We will provide bug fixes and corrections for a specified warranty period as outlined in your service agreement, typically 30-90 days after project delivery.
Disclaimer
Except as expressly stated, our services are provided "as is" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
10. Limitation of Liability
To the maximum extent permitted by law, Claudine Tech shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from or related to our services. Our total liability shall not exceed the amount paid by you for the specific service giving rise to the claim.
11. Indemnification
You agree to indemnify, defend, and hold harmless Claudine Tech, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses arising from your use of our services, violation of these terms, or infringement of any third-party rights.
12. Confidentiality
Both parties agree to maintain confidentiality of proprietary information shared during the course of business. We will not disclose your confidential information to third parties without your consent, except as required by law or as necessary to perform our services.
13. Termination
By Client
You may terminate services at any time with written notice. However, you remain responsible for payment of all work completed up to the termination date, including any applicable cancellation fees.

We reserve the right to terminate or suspend services immediately if you breach these terms, fail to make payments, engage in fraudulent activity, or if we determine that continuing the relationship is not in our best interests.
14. Third-Party Services
Our services may integrate with or rely on third-party services, platforms, or tools. We are not responsible for the availability, functionality, or terms of these third-party services. Your use of third-party services is subject to their respective terms and conditions.
15. Dispute Resolution
In the event of any dispute arising from these terms or our services, both parties agree to first attempt resolution through good-faith negotiations. If negotiations fail, disputes shall be resolved through arbitration in Pretoria, South Africa, in accordance with the Arbitration Act of South Africa.
16. Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of the Republic of South Africa. Any legal proceedings shall be brought in the courts of Pretoria, South Africa.
17. Force Majeure
Neither party shall be liable for failure to perform obligations due to causes beyond reasonable control, including but not limited to natural disasters, war, terrorism, labor disputes, government actions, or internet service disruptions.
18. Entire Agreement
These Terms and Conditions, together with any service agreements, proposals, or contracts, constitute the entire agreement between you and Claudine Tech and supersede all prior agreements, understandings, or representations.
19. Severability
If any provision of these terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
20. Amendments
We reserve the right to modify these Terms and Conditions at any time. Changes will be effective immediately upon posting to our website. Your continued use of our services after changes are posted constitutes acceptance of the modified terms.
